Terms of Service

Corner is run by Roni Ricardo Rizk, an individual doing business as Corner in College Station, Texas. In these terms we, us and Corner mean that person and that business. You means whoever is reading this and using Corner.

Write to us at support@cornercoachfit.com. That address reaches a person, and it is the address for anything in these terms that says to contact us.

1 · What Corner is, and what it is not

Corner is software for fitness coaches, the people they coach, and people who train on their own. It holds programs, training logs, food logs, body measurements, messages and check-ins, and it works things out from them.

Corner is not a medical service and it does not give medical advice. It is not a doctor, a dietitian, a physiotherapist or a diagnosis. Nothing Corner shows you is a substitute for a qualified professional, and you should speak to one before starting or changing how you train or eat, especially if you are pregnant, injured, unwell, or taking medication. If something feels wrong while you are training, stop and get help.

Corner does not coach you on its own. A coached client's program and targets are written or approved by their coach. What Corner works out — a total, a trend, a number to aim for — comes from that program and from what you logged, and it can be wrong, so use your judgement. Where Corner drafts something, a coach reads and edits it before it reaches anyone.

Food information comes from public databases — Open Food Facts and the USDA — and from what people enter. It can be incomplete or wrong. Check the label, and never rely on Corner to keep you away from an allergen.

2 · You have to be 18

Corner is for adults. When you create an account you confirm you are at least 18 years old. If you are a coach, you may not add anyone under 18 as a client. If we learn that an account belongs to someone under 18 we will close it and delete what it holds.

3 · Coaches, clients, and who is responsible for what

If you are a coach, the coaching is yours. You decide what to program, what to advise and who to take on. You are responsible for working within whatever you are qualified and licensed to do — nutrition advice in particular is regulated differently from one state and one country to the next, and that is yours to know. You are responsible for screening your clients before you train them. If a client is harmed by your coaching, that is between you and them — and if they bring a claim against us over your coaching, you will cover our reasonable costs of dealing with it.

If you are a client, your coach is your coach. Corner shows them your diary, your program and your messages because that is what you asked for when you accepted their invitation, and you can end it at any time from your own account.

If you are training on your own, there is no coach, and every judgement is yours.

4 · Your account

Keep your password to yourself and tell us if you think somebody else has it. What happens under your account is yours, unless it happened because we let somebody in who should not have been.

Do not use Corner to break the law, to harass anybody, to upload things that are not yours to upload, or to attack the service. We may suspend an account that is doing any of that, and we will tell you why.

5 · What you pay

Prices are shown on the pricing page in US dollars, and that page is part of these terms.

The trial, and the card. A new coach gets the full Coach plan free for 14 days. We take a card when you sign up, and the sign-up page says what happens next, beside the card field. At the end of the 14 days:

• with three active clients or fewer, the account moves to the Free plan and stays there — your card is not charged. Every core feature keeps working. Nobody is locked out and nothing is deleted;
• with more than three active clients, the account moves to the paid Coach plan and your card is charged the Coach plan's monthly price — your founding price, if you have one — and then every month until you cancel.

An active client is one whose coaching with you is running: not somebody you invited who has not joined yet, and not somebody who has left. To avoid any charge, cancel, or bring your active clients down to three or fewer, before the 14 days end.

Paying. A paid plan renews every month or every year until you cancel. Cancel any time, online, from your account; you keep what you paid for until the end of the period you paid for, and it does not renew again.

REFUNDS: THERE ARE NONE. Payments already made are not refundable, in whole or in part, including for a period you did not use. The 14-day trial exists so that nobody has to pay to find out whether Corner suits them. If the law where you live gives you a refund right anyway, this paragraph does not take it away.

The founding rate. The first fifty coaches who sign up within 90 days of Corner opening get a founding price for the Coach plan, and keep it for as long as they stay on Coach — moving between monthly and yearly billing keeps it. Cancel and come back after those 90 days and you come back at the price of the day. We may change our list prices; we will not change yours while your subscription is running.

Taxes. Prices exclude sales tax. Where we are required to collect it, it is added at checkout and shown on your invoice.

6 · Your content is yours, and Corner is ours

Everything you put into Corner — programs, logs, photos, notes, messages — stays yours. You give us permission to store it, process it and show it to the people you have chosen to show it to, and to make backups. That permission exists so the software can work; it ends when you delete the content or your account.

We do not sell your data. We do not use it to advertise to you. We do not sell it to anybody who wants to advertise to you. There is no version of Corner where that changes.

Corner itself is ours. The software, its design and its name belong to us. While your account is open and you keep to these terms, you may use Corner for yourself and, if you are a coach, for your coaching business. You may not copy it, resell it, or take it apart to rebuild it.

7 · Leaving

Export. You can download everything in your account at any time, whether you are a coach or a client, and whether you are paying or not.

Deleting. You can delete your account from your settings. We offer you the export first. After you confirm, your content is removed from the live service and purged from our systems within 30 days, and the copies in our encrypted backups age out within 7 days after that. Some records we have to keep — an invoice, for example, because tax law says so.

If a coach leaves, their clients' own accounts and their own data survive. A coaching relationship ending is not a client's account ending.

8 · When Corner is not available

We try to keep Corner running and we do not promise that it always will be. There will be maintenance, and sometimes there will be faults. Corner is provided as it is, without warranties of any kind, to the fullest extent the law allows.

9 · The limit on what we owe you

READ THIS PARAGRAPH. IT LIMITS WHAT YOU CAN RECOVER FROM US, INCLUDING FOR OUR OWN NEGLIGENCE.

TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXPRESSLY INCLUDING CLAIMS ARISING FROM OUR OWN NEGLIGENCE, OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS CONNECTED WITH CORNER IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED US DOLLARS, WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS OR LOST DATA.

WHAT THIS PARAGRAPH DOES NOT DO. It does not limit our liability for fraud, for our own gross negligence or wilful misconduct, or for death or personal injury caused by our negligence. It does not waive any right you have under the Texas Deceptive Trade Practices–Consumer Protection Act, and nothing in these terms should be read as asking you to waive one — under Texas Business and Commerce Code § 17.42 a consumer's waiver of that Act is void unless you were represented by your own lawyer, which nobody clicking through a web page is. It does not take away any right the law where you live gives you and does not allow you to give up.

10 · Health data

Corner stores health information about you. What we collect, why, who sees it and how to get it back or have it erased is in the Privacy Policy, and — because Washington's My Health My Data Act requires its own document — in the Consumer Health Data Privacy Policy. Both are part of these terms.

Corner is not covered by HIPAA and we do not sign business associate agreements. If you are a licensed clinician who needs one, Corner is not the right software for you.

11 · Notices, and agreeing to get them electronically

By using Corner you agree that we may send you notices by email or in the app, including notices the law requires us to send. That agreement is given under the federal E-SIGN Act, 15 U.S.C. § 7001, which is also what allows us to notify you electronically if there is ever a data breach. You can ask for a notice on paper instead by writing to support@cornercoachfit.com, and if there is ever a breach we will tell you how to do that.

Keep your email address current. A notice sent to the address on your account counts as delivered.

12 · Changes to these terms

We may change these terms. If a change matters, we will tell you by email or in the app at least 14 days before it takes effect, and the date at the top will change. Carrying on using Corner after that means you accept the new version. If you do not, you can export and delete.

13 · The law that applies, and where a dispute goes

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute goes to the state or federal courts sitting in Brazos County, Texas, and we each agree those courts may hear it. You can always bring a claim in small claims court instead if it qualifies.

There is no arbitration clause here and no class-action waiver, deliberately. Nothing in this section takes away a right you have to complain to a regulator where you live.

14 · The rest

If one part of these terms turns out to be unenforceable, the rest still stands. If we do not enforce something straight away, we have not given it up. These terms, with the two privacy documents and the pricing page, are the whole agreement between us about Corner. You may not transfer your rights under them; we may transfer ours if the business is sold, and we will tell you.
